Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) are a binding agreement between you and woose.io Governance Systems Inc. [ ● registered address ] (“woose”, “we”, “us”) governing your use of the woose.io website, the Governance Workbench at woose.io/app, and related services (the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The service

woose.io provides AI governance and risk-management software and advisory services, including interactive tools that classify AI systems, scan for fairness and drift, generate documentation, and produce readiness scores and remediation roadmaps. Many tools run in your browser; some features rely on our servers and third-party AI providers.

You must be at least 16 and able to form a binding contract. If you use the Service on behalf of an organisation, you represent that you are authorised to bind it to these Terms. You are responsible for activity carried out through your use of the Service and for keeping any access links (such as saved-assessment URLs) confidential.

You retain all rights to the data, documents, and content you provide or analyse (“Your Content”). You grant us a limited licence to process Your Content solely to provide the Service to you. You are responsible for Your Content and warrant that you have the rights and lawful basis to use it. Our handling of personal data is described in our Privacy Policy.

7. Intellectual property

The Service, including its software, engines, content, and branding, is owned by woose or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted here, no rights are transferred to you. Documents and reports the Service generates from your inputs are yours to use for your own governance purposes.

8. Assessments, scores & Trust Passports

Readiness scores, risk registers, and Trust Passports are generated from the information you supply and reflect self-attested inputs. Unless we agree otherwise in a signed engagement, they are not an independent audit, certification, or accreditation, and a cryptographic signature on a passport attests only to the integrity of the recorded data — not to the truth of your underlying claims.

9. Third-party services

The Service integrates third-party providers (for hosting, email, and AI models). Their availability and outputs are outside our control, and AI-generated content may be inaccurate or incomplete. Your use of those features is also subject to the relevant provider’s terms.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output is accurate, complete, or fit for your purpose.

11. Limitation of liability

To the maximum extent permitted by law, woose and its suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, goodwill, or for any reliance on the Service’s outputs. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or USD 100. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify and hold woose harmless from claims, losses, and expenses arising out of Your Content, your use of the Service, or your breach of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. Provisions that by their nature should survive (including sections 6–12) will survive termination.

14. Governing law & disputes
